Sub: Constitution of a Committeeon Corporate Governance Guidelines for Insurers in India

आईआरडीएआईने भारत मेंबीमाकंपनियों केलिए कारपोरेटअभिशासनदिशानिर्देशवर्ष 2016 में जारीकिये थे।आईसीपीएस केसंबंध में,विशेष रूप सेआईसीपी 5 –व्यक्ति कीउपयुक्तता,आईसीपी 7 –कारपोरेटअभिशासन औरआईसीपी 8 –जोखिम प्रबंधऔर आंतरिकनियंत्रण केसंबंध मेंआईएआईएस कीसमकक्षसमीक्षाप्रक्रिया मेंप्राधिकरण कीसहभागिता नेनिर्दिष्टकिया है किउक्तदिशानिर्देशोंको और मजबूतकरने कीआवश्यकता है।

IRDAI had issued the Corporate GovernanceGuidelines for Insurance Companies in India in the year 2016.The participationof the Authority in peer review process of IAIS on ICPs more particularly onICP 5 - Suitability of Person, ICP 7- Corporate Governance and ICP 8 - RiskManagement and Internal Controls indicated that there is need to furtherstrengthen the Guidelines.

इसकेअलावा, चारप्रमुख कार्य(जोखिमप्रबंध, बीमांकिक,अनुपालन औरआंतरिकलेखा-परीक्षा)अभिशासन कीप्रणाली केअत्यावश्यकभाग हैं। इनप्रमुखकार्यों केसंबंध में यहप्रत्याशा कीजाती है कि वेपरिचालनगतरूप सेस्वतंत्र होंजिससेबीमाकर्ता केअंदर एकप्रभावी औरसुदृढ़आंतरिकनियंत्रणपरिवेश तथाप्रबंधन के द्वाराउच्चगुणवत्ता सेयुक्तनिर्णयन केलिए समर्थन कोसुनिश्चितकिया जा सके।इसके साथ ही,यह भीमहत्वपूर्णहै कि अभिशासनकी ये आवश्यकताएँबीमाकर्ताओंके लिएअत्यधिक भारयुक्तन हों।तदनुसार,कार्यों कानियंत्रण करनेके लिए उचितमहत्व देनेहेतुबीमाकर्ताओं कीअभिशासन कीप्रणाली मेंवृद्धि करनेकी आवश्यकताहै।

Further, four key functions (risk management,actuarial, compliance and internal audit) are an essential part of the systemof governance. These key functions are expected to be operationally independentto ensure an effective and robust internal control environment within aninsurer and support high quality of decision-making by the management. At thesame time, it is also important that these governance requirements are notoverly burdensome for in­surers. Accordingly, in order to provide due weightageto control functions, there is need to enhance the governance system of insurers.

उपर्युक्तके आलोक में,प्राधिकरणउक्त दिशानिर्देशोंकी समीक्षाकरने तथाइन्हें अधिक प्रभावीऔर सुदृढ़बनाने के लिएनिम्नलिखित सदस्योंके साथ एकसमिति का गठनकरता हैः

In the light of the above, the Authority, inorder to review the Guidelines and to make it more effective and robust,constitutes a Committee with the following members:

उक्तसमितिअध्यक्ष,आईआरडीएआई कोरिपोर्ट इसआदेश की तारीखसे तीन महीनेकी अवधि केअंदर प्रस्तुतकरेगी।

The Committee shall submit the Report to theChairman, IRDAI within a period of three months from the date of this order.

इस संबंधमें समिति केसमक्षविचारार्थविषय निम्नलिखितहोंगेः

TheCommittee in this regard shall have the following terms of reference:

1.     बीमाकर्ताओँके लिए कारपोरेटअभिशासन हेतुदिशानिर्देशोंकीसमीक्षा करनातथा विशेष रूपसे अभिशासन औरनियंत्रणकार्योंसंबंधी संगतआईसीपीएस और आईएआईएसके अनुप्रयोगपत्रों केआलोक में परिवर्तन,यदि कोई हों,सुझाना।

To review theGuidelines for Corporate Governance for Insurers and suggest changes, ifany, specifically in the light of relevant ICPs and Application Papers of IAISon Governance and control functions.

2.     समिति कोसंदर्भित कोईअन्य विषय।

Any other issues asreferred to the Committee.

यह सक्षमप्राधिकारीके अनुमोदन सेजारी कियाजाता है।

This is issued with the approval of theCompetent Authority.
